Owner Participation Agreement By and Between the Redevelopment Agency of
the City of Temecula and The Zev Buffman Group, Inc.
RECOMMENDATION:
It is requested that the Old Town Redevelopment Advisory Committee review and recommend
approval of the proposed Owner Participation Agreement by and between the Redevelopment
Agency of the City of Temecula and The Zev Buffman Group, Inc.
BACKGROUND:
The Owner Participation Agreement (OPA) proposed is the product of negotiations between
the Redevelopment Agency of the City of Temecula and The Zev Buffman Group, Inc. (TZBG)
under an amended and restated Memorandum of Understanding (MOU) executed between the
parties on January 31, 1995. The subject OPA incorporates in final form the terms and
conditions which were outlined by the MOU and summarized in the attached report to City
Council/Redevelopment Agency dated January 31, 1995 with certain exceptions.
OWNER PARTICIPATION AGREEMENT:
The subject OPA is completely summarized in the attached "Summary Report" which outlines
the major responsibilities of TZBG and the Agency with respect to the Old Town Entertainment
Project and the construction of public improvements. The most important difference between
the proposed OPA and the adopted MOU rests with the responsibility for financing the Old
Town Entertainment Project. While the MOU called for the City and/or Redevelopment Agency
to act as "conduit" issuer of tax exempt bonds for the Old Town Entertainment Project, the
final OPA places full responsibility for the financing of the Old Town Entertainment Project on
TZBG. Neither the City nor the Agency shall assist in any way with the financing of the
Entertainment Facilities through "conduit financing" or any other means.
Another significant change between the MOU and the final OPA has occurred with respect to
the construction of the public improvements proposed to support the Old Town area in general
and the Entertainment Facilities specifically. These public improvements, estimated to cost
95,987,700, are those which have been programmed in the City's adapted Capital
improvement Program for FY 95-96 and for which the Redevelopment Agency has available
funds on hand. Under the terms of the OPA, TZBG shall assume responsibilities for the land

acquisition, design and construction of these public improvements and take full financial risk
for any cost overruns or expenses incurred in building the public improvements in excess of
the approved budget of $5,987,700, The public improvements must be bid in accordance
with the provisions of the Public Contract Code and applicable laws; TZBG shall also pay
prevailing wages in accordance with applicable laws. Should the actual bid and construction
management fees result in costs less than the budgeted amount, TZBG must reimburse the
Agency the difference between the actual cost of the public improvements and the budgeted
amount.
The Western Bypass Corridor will be financed by a benefit assessment district; TZBG has
agreed to waive any objections to the formation of the assessment district. No existing retail
businesses or residents within the Old Town Specific Plan Area will be included in the benefit
assessment district.
Another change from the previously adopted MOU is the inclusion in the Project of an open
space element, the "Old Town Festival Square." The location and specific size of the Old
Town Festival Square has not yet been determined, but must be approved by the Agency.
The Old Town Festival Square is proposed to be used for special events such as picnics,
receptions and similar activities, landscaped rest areas, and/or revenue generating activities
such as wine festival shows and exhibits. The area must be available for use without
admission at least ten hours per week in accordance with a schedule to be approved by the
Agency and TZBG. In the event City right-of-way is vacated to comprise a portion of the site
for the Old Town Festival Square, Agency has agreed to acquire the vacated street right-of-
way from the City and lease an area not to exceed 8,000 square feet to TZBG at an annual
rent of ~1.00 per year for thirty-five years. The Old Town Festival Square will provide the Old
Town area with a permanent open space element which will be maintained by TZBG.
Other terms and conditions of the OPA parallel those that were included in the amended and
restated MOU of January 31, 1995 and are more fully described in. the attached summary.
SCHEDULE FOR DEVELOPMENT:
The Agency has agreed to pursue the formation of an assessment district to fund the cost of
planned acquisition and construction of the Western Bypass Corridor on or before January 1 O,
1996 with the issuance of bonds on or before March 1, 1996. The proposed construction
schedule for the Entertainment Facilities will depend on TZBG's ability to obtain necessary
financing. The final dates to initiate construction of the Entertainment Facilities and public
improvements has not been determined at this time.
FISCAL IMPACT:
A total of $313,059 has been expended to date by the City/Redevelopment Agency to study
the feasibility of the Project. Costs are still being incurred for legal and consulting fees in
connection with the Project. The OPA requires TZBG to reimburse all costs of the City and
Agency related to this Project with the exception of City and Agency staff time.
Funds for the public improvements to support the Project in the amount of 96,487,700 are
budgeted in the City's FY 95-96 Capital Improvement Program.

The Entertainment Facilities and the Public hx, F.,~n~ents will be located within two
areas described as the 'OM Town Azea' and the *Westside A~a.*
The Old Town Area is descn'bed as *Tourist Con~ Retail' on the ~u~osecl I~n~_ Use
Districts Map of the Old Town Specific Phn approved by Ordinance No. 94-05 of the
City Council of the City of Temecula on February 22, 1994, which is on file in the:
office of the City Cleric. The 'Westside Ares' is gemently located southwesterly of the
Old Town Area and described on the Study A~ea Map of the Westside Specific Plan
approved by Ordinance No. 9~-08 of the City Council of the City of Temecula on lune

RECOMMENDATION:
It is requested that the Old Town Redevelopmerit Advisory Committee review, and recommend
approval of the request by the Old Town Temecula Mainstreet Association to provide $15,000
for the Old Town Specific Plan Billboard Sign Lease.
BACKGROUND:
In February 1994,the Council adopted the Old Town Specific Plan. One of the implementation
programs of the Plan was the provision for freeway oriented signs to announce the location
of Old Town to travelers along Interstate 15. The Specific Plan expected that the Agency's
role funding these signs would stop after four years. The levels of support in the Specific Plan
to help publicize Old Town are shown below.

Approval of this request would support the promotional activities of the Old Town Temecula
Mainstreet Association (OTTMA). The Agency has previously approved requests in October
26, 1993 and October 11, 1994. Previous requests provided two freeway-oriented signs
through August 1, 1995. The OTTMA is currently requesting $15,000 to provide a single
south-facing sign between August 1, 1995 and August 1, 1996.

It is requested that the Old Town Redevelopment Advisory Committee provide comments on
the following:

Recommend Authorization and Appropriation of $30,000 from the
Redevelopment Fund Balance for Planning and Building Fee Reimbursement for
Structures on the Old Town Local Historic Register and participants in the
Facade Improvement Rebate and Non-Conforming Sign Removal Programs.
DISCUSSION:
The Old Town Specific Plan (OTSP) was approved in February 1994. Protecting the cultural
heritage and historical architectural resources found in Old Town is part of the overall goal for
the re-vitalization of Old Town. To achieve this goal, the OTSP provides incentives to building
owners to maintain, preserve, and improve their properties.
One of the incentives granted eligible property owners is the waiver of building permit and
planning application fees. Eligible properties would include those properties placed on the Old
Town Local Historic Register and structures participating in the Facade Improvement Rebate
and Non-Conforming sign removal programs.
FISCAL IMPACT:
No money has been appropriated for the reimbursement incentive. To spend funds on these
activities in this fiscal year, it is necessary to appropriate $30,000 from the RDA Fund
Balance. A new line item will need to be established in the Redevelopmerit Agency's budget.

It is requested that the Old Town Redevelopment Advisory Committee do the following:
( 1 ) Recommend Authorization and Appropriation of $8,000 from the
Redevelopment Fund Balance for Design a Western Style Logo for Old Town
BACKGROUND:
The Old Town Specific Plan (OTSP) states that the City should adopt a logo for Old Town.
The logo is intended to help create an easily recognized and distinctive town image. The logo
will be used on various streetscape elements, such as the gateway sign, street signs, and
intersection paving, as well as merchandising and advertising. As recommended in the OTSP,
staff intends to distribute a request for qualification to graphic artists to prepare an appropriate
"western" style logo.
FISCAL IMPACT:
No money has been appropriated for the Old Town logo. To spend funds on this activity in
this fiscal year, it is necessary to appropriate 88,000 from the RDA Fund Balance, to Account
No. 280-199-999-5250.
